# Character.AI (2021 – 2026)

- Sector: Super intelligence
- Country: United States
- Total funding: $193 million
- Main cause: Regulation and legal issues

## What did it do?

Character.AI was a platform on which users chatted by text with characters they had created themselves or that others had created. It was founded in 2021 by two former Google engineers, Noam Shazeer and Daniel De Freitas. Revenue came from the c.ai+ subscription at USD 9.99 a month and from advertising. In October 2024 it had around 20 million monthly active users.

## Why did it file for bankruptcy?

On 13 October 2026 the company filed a voluntary Chapter 11 petition in the United States and launched a court-supervised sale of all or substantially all of its assets. In its announcement it summed up the reason as "significant legal, regulatory and operational challenges". According to the company, the platform continues to operate; the sale is expected to close in late November or early December, and if no buyer emerges to keep the platform going, the service will be shut down. Disney became the first bidder in the process, taking a non-exclusive, perpetual licence to certain intellectual property for USD 20 million; other bids may top it.

Several pressures stand out on the recorded timeline: the licensing deal of August 2024 that took the founders and part of the research team to Google; the family lawsuit filed in October 2024 and settled in January 2026; the removal of characters after a cease-and-desist letter from Disney in September 2025; the shutdown of open-ended chat for users under 18 in October 2025; and model costs that rose as usage grew.

## The story

On 18 September 2025, Disney's lawyers sent Character.AI a cease-and-desist letter accusing the company of copying Disney characters without permission and profiting from them. Character.AI removed the characters. Exactly a year later, on 18 September 2026, news broke that Disney had chosen Karandeep Anand, Character.AI's chief executive, as its first chief technology officer. On 13 October 2026 Character.AI announced its bankruptcy protection filing, and Disney became the first bidder in the court process.

Character.AI was founded in late 2021 by two former Google engineers, Noam Shazeer and Daniel De Freitas. On the platform, users chatted by text with characters they had created themselves or that others had created. In March 2023, with no revenue yet, it raised USD 150 million in a round led by Andreessen Horowitz and reached a USD 1 billion valuation; by October 2024 it had 20 million monthly active users.

In August 2024 Google took a licence to the company's technology for around USD 2.7 billion, according to the Wall Street Journal; the founders and part of the research team returned to Google. The company shifted from training its own foundation model to focusing on growth, and has since had three different chief executives. Meanwhile legal pressure mounted: the lawsuit filed after the death of a 14-year-old and similar cases were settled in January 2026. In October 2025 the company shut down open-ended chat for users under 18.

On 13 October 2026 it began Chapter 11 proceedings in the bankruptcy court in Delaware. According to the company, the platform is running, the sale process is under way, and if no buyer emerges the service will be shut down.

The story shows that even a product that was the subject of a licensing deal worth around USD 2.7 billion in August 2024 can be put up for sale within two years under legal, regulatory and cost pressure.

## Lessons

- For a product that builds emotional attachment, duty of care is part of the product; design protections for young and vulnerable users at launch, because adding them later costs you part of your audience.
- If user-generated content rests on someone else's intellectual property, a piece of your product's core can disappear the moment the rights holder says "take it down"; when you assess your moat, note who can lock the gate.
- Users are not revenue; in a product where every reply carries a model cost, measure revenue and cost per user from day one.
- A licensing deal that takes out the founders and the core team can also take away the company's ability to carry the product; when weighing such an offer, price in what happens to the team left behind.
